What are insider trades?

Individuals within a company such as officers, directors, and those that hold more than 10% of any class of a company’s securities are recognized as insiders by the SEC. These individuals are allowed to purchase and sell shares of their company’s stock as long as they only use public information to do so.

Why is it important?

Because insiders must publicly report their actions to the SEC, traders who monitor these moves may be able to interpret them as signals of good or bad faith in a company and act accordingly. However, this information should only be recognized as an important component of making a decision on a stock rather than the deciding factor. It's often not wise to blindly copy insider moves because insider buying and selling is completely normal and speculation-based.

BUY:

BUY indicates a purchase of securities

SELL:

SELL indicates a sale of securities

BUY-OPTIONS:

BUY-OPTIONS indicates a conversion of options as well as a purchase of securities

SELL-OPTIONS:

SELL-OPTIONS indicates a conversion of options as well as a sale of securities

What is an OPTIONS:

OPTIONS indicates the conversion or expiration of options

What is an ACQUISITION:

ACQUISITION indicates an acquisition of securities

DISPOSITION:

DISPOSITION indicates a disposition of securities

What is an ACQ/DIS:

ACQ/DIS indicates a purchase of securities

GRANT:

GRANT indicates an award or grant of securities

TAX:

TAX indicates the payment of exercise price or tax liability by delivering or withholding securities
